Terms of Use

Holidaay is a leave management tool for organisations. These Terms of Use ("Terms") govern your use of the Holidaay service. By signing up, logging in, or using the service, you agree to these Terms. If you are using Holidaay on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. Use is also subject to our Privacy Policy.
1. The service
Holidaay provides leave and holiday planning (e.g. requests, approvals, calendar, reporting) for teams. We make the service available in accordance with these Terms and our Privacy Policy. We aim to keep the service available but do not guarantee uninterrupted access and may modify or discontinue features with reasonable notice where practicable. We do not provide any service level agreement (SLA) unless expressly agreed in writing.
No legal or HR advice. Holidaay is a software tool only. Holidaay does not provide legal, employment, or HR advice. You and your organisation are solely responsible for ensuring that your leave policies, approvals, and use of the service comply with applicable law and your own HR practices. You must not rely on Holidaay for any such advice or decisions.
2. Accounts and organisation responsibility
You need an account to use the service. You must provide accurate information and keep your account secure. Your organisation is responsible for how its members use Holidaay and for complying with applicable law (including employment and data protection). Each organisation is the Data Controller of its data; Holidaay acts as Data Processor as set out in the Privacy Policy.
3. Acceptable use
You must use Holidaay only for lawful purposes and in line with these Terms. You must not: misuse or attempt to gain unauthorised access to the service or others' accounts; use the service to send spam or harmful content; or use it in any way that could harm the service or other users. We may suspend or terminate access if we reasonably believe there is a breach.
4. Payment and billing
Paid plans (monthly or annual, seat-based) are billed through our payment provider Paddle. Paddle acts as merchant of record for paid subscriptions. By choosing a paid plan, you agree to the applicable subscription and payment terms. Fees are as shown at sign-up or on the Pricing page and may be updated with notice. Subscription renews automatically unless cancelled. You can manage or cancel your subscription through your Paddle account or by contacting us. Refunds are handled in line with Paddle's policy and applicable law; contact support@holidaay.co.uk for billing queries.
If payment fails or a subscription lapses, we may suspend access to paid features until payment is restored. We may enforce the limits of the Free plan and restrict access to paid features if a subscription is not active. We may change plan features, limits, or pricing from time to time with reasonable notice.
5. Intellectual property
Holidaay and its branding, design, and content are owned by Holidaay (or its licensors). You do not acquire any ownership by using the service. You may not copy, modify, or reverse-engineer the service except as permitted by law.
6. Limitation of liability
To the fullest extent permitted by law, Holidaay is provided on an "as is" and "as available" basis. We do not warrant that the service will be error-free or uninterrupted. You acknowledge that the service is provided as a tool to assist with leave administration and that all employment decisions remain the responsibility of your organisation. We are not liable for any indirect, consequential, or special loss, or for loss of data or profits, arising from your use of the service. Our total liability for any claim arising from these Terms or the service shall not exceed the fees paid by your organisation to Holidaay in the 12 months preceding the claim. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
7. Force majeure
We are not liable for any failure or delay in performing our obligations under these Terms where that failure or delay results from circumstances outside our reasonable control. Such circumstances include, but are not limited to: failure of hosting or infrastructure providers, power or telecommunications outages, natural disasters, epidemic, war, terrorism, government action, or other events that could not reasonably have been foreseen or avoided. If a force majeure event continues for an extended period, we may suspend or terminate the affected part of the service with notice where practicable.
8. Termination
You may stop using the service at any time. We may suspend or terminate your or your organisation's access if you breach these Terms or for operational or legal reasons, with notice where reasonable. On termination, your right to use the service ends. Data will be handled in accordance with our Privacy Policy and the organisation's role as Data Controller (including retention of organisational leave records where applicable).
9. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If changes are material, we will use reasonable means to notify you (e.g. email or in-app notice). Continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree, you should stop using the service.
10. General
These Terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales. If any part of these Terms is held invalid, the rest remains in effect. No third party has rights under these Terms.
